Emmerson Resources holds a commanding land position of over 1,800km2 covering 90% of the Tennant Creek Mineral Field (TCMF), one of Australia’s highest-grade goldfields, in the Northern Territory, Australia.

The Tennant Creek Mineral Field is situated approximately 500km North of Alice Springs on the Stuart Highway, the main road link between Adelaide and Darwin. Important infrastructure running through Tennant Creek includes the Adelaide-Darwin railway and gas pipeline. Tennant Creek has a population of approximately 3,500 and is the main service centre of the Barkly Tablelands region.

Emmerson Resources entered into a Scheme Implementation Deed with Pan African Resources (PAN) under which PAN has agreed to acquire 100% of the issued share capital in Emmerson via an Australian scheme of arrangement for an implied offer price of A$0.45 for each Emmerson share (See ERM ASX Announcement: 9 March 2026 – Emmerson to be Acquired by Pan African Resources). The all-share acquisition enables ongoing ERM shareholder participation, as well as Capital Gains Tax scrip-for-scrip rollover relief due to the planned ASX listing.

PAN is a dual-listed gold producer with a strong production pipeline across assets in South Africa and Australia. Furthermore, PAN is forecasting significant free cash flow generation in FY2026 and has a proven track record of investor returns, with a sector-leading dividend (maiden interim dividend announced in FY2026H1). PAN’s robust balance sheet provides the financial capacity to advance Tennant Creek development opportunities and New South Wales exploration activities, along with other organic and inorganic growth projects.

This strategic consolidation to develop the Tennant Creek Mineral Field via the Nobles Processing Facility aligns the interests of all shareholders, enabling optimisation of the tenure. Consequently, Emmerson shareholders gain exposure to a large, high-margin gold portfolio of long-life assets and large-scale gold resources, with PAN expected to produce >275koz of gold in FY2026.
